Acceptance of the terms of use

These terms of use (hereinafter the "Terms") are concluded between you, user of the services, and NEURA KING, publisher of the site neuraking.com, based in Madagascar. NEURA KING is responsible for the publication, updating and accuracy of the information on the site.

By accessing and using the Services, whether as a guest or a registered user, you declare that you accept without reservation these Terms as well as our Privacy Policy, which forms an integral part hereof.

If you are using the Services on behalf of a legal entity, you represent that you have the authority to bind such entity to these Terms.

Intellectual property rights

GPT KING Limited (UK) is responsible for protecting the intellectual property related to the Site and the Brand. By using the Services, you agree to respect the intellectual property rights of GPT KING Limited.

Payments

Brainstrom World Group (Côte d'Ivoire) is the manager of payments made on the Neura King site and is responsible for the smooth running of financial transactions. For any questions or disputes relating to payments. By using the services and making payments on the site, you agree to the payment terms established by Brainstrom World Group.

Responsability

NEURA KING (Madagascar) is primarily responsible for the services provided through the neuraking.com website. GPT KING Limited is solely responsible for intellectual property issues, while Brainstrom World Group is solely responsible for payment-related aspects. Each entity is responsible within the limits of its attributions and cannot be held liable for elements that do not fall within its scope of action.

For any questions regarding the services and the neuraking.com website, you should contact NEURA KING, who is your primary contact. If your question specifically concerns intellectual property, you may contact GPT KING Limited. For payment questions, please contact Brainstrom World Group. These clauses are an integral part of the Terms of Use and must be accepted in their entirety in order to use the services offered by NEURA KING. They aim to protect the interests of all parties involved and to ensure transparency towards users.

Change of conditions

It is your responsibility to regularly review the latest version of the Terms. Your continued use of the Services after the changes become effective will constitute your acceptance of those changes.

By accessing and using the Services, you acknowledge that you have read these Terms, which cover all necessary aspects and protect the interests of each of the parties involved, namely NEURA KING, GPT KING Limited and Brainstrom World Group. You agree to comply with these Terms in their entirety.

Access to services and account security

NEURA KING reserves the right to modify, suspend or discontinue all or part of the Services, temporarily or permanently, with or without notice. By accepting these Terms of Use, you acknowledge that NEURA KING shall not be liable to you or any third party for any modification, suspension or discontinuance of the Services.

We assume no liability for any partial or total unavailability of the Services at any time and for any period. We also reserve the right to restrict access to certain parts of the Services, or even all of the Services, at any time and at our sole discretion, including for registered users.

Additionally, we reserve the right to disable any identifier, whether chosen by you or provided by us, at any time in our sole discretion for any reason, including if we believe that you have violated any provision of these Terms of Use.

Although the Services are accessible worldwide, this does not mean that all Services or all features of the Services are available in your country, nor that User Contributions (as defined below) accessible through the Services are legal in your country. NEURA KING reserves the right to restrict access to certain Services, features or content in certain countries.

User’s liability

It is your responsibility to ensure that your use of the Services complies with the laws of the country in which you reside. Please note that the Services are not available in all languages.

Use of the Services to generate content via the Template Providers' APIsIA is reserved for users aged 16 or over. If you are under the age required to consent to the use of online services in your country of residence, you should not use this feature of the Services. Instead, we encourage you to ask a parent or guardian to help you access appropriate content.

If we discover that you have created an account in violation of these rules, we reserve the right to terminate your account.

However, it is important to note that access to the Neura King website itself is not restricted by age. Only the use of content generation features via the AI ​​Model Providers APIs is subject to the age restriction of 16 years. Users of all ages can browse the site and access other features and content offered, in compliance with these terms of use and applicable law.

You acknowledge that all information you provide when registering for the Services, or otherwise, including, but not limited to, through the use of interactive features, is governed by our Privacy Policy. You consent to all actions we take with respect to your information consistent with our Privacy Policy.

Account security

If you choose, or you are provided with, a user name, password or other piece of information as part of our security procedures, you must treat such information as confidential and not disclose it to any other person or entity.

You also acknowledge that your Account is personal and you agree not to permit any other person to access the Services or any portion thereof using your username, password or other account information.

You are responsible for maintaining the security of your login credentials and are solely responsible for all activities that occur under your account.

You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to exit from your account at the end of each session.

You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. NEURA KING will not be liable for any acts or omissions by you, including any damages incurred as a result of such acts or omissions.

User behavior

Use of the service

Use of NEURA KING services is conditional upon the granting of a prepaid PASS.

The different passes include Credit Tokens allowing the use of the services of API providers.

Prohibited uses

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms of Use, or for any purpose not reasonably anticipated by NEURA KING.

By way of example, but not limitation, you agree not to use the Services:

– In a manner that would violate any local, national or international law or regulation.
– To abuse, harm, harass, threaten, impersonate or intimidate any person.
– Send, knowingly receive, download, post, use or re-use any material or content that:
(i) contains any unlawful, defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable material;
(ii) promotes sexually explicit or pornographic material, violence or discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
(iii) violates the intellectual property rights or other rights of any person or entity;
(iv) violates the legal rights of others or contains material that could give rise to civil or criminal liability under applicable laws or regulations or otherwise be inconsistent with these Terms of Use;
(v) is likely to deceive any person;

(vi) promote any illegal activity, or advocate, promote or assist any illegal act;
(vii) causes annoyance, inconvenience or needless anxiety, or is likely to upset, embarrass, alarm or annoy any other person;
(viii) impersonates any person or otherwise misrepresents your identity or affiliation with any person or organization;
(ix) involves commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter or advertising;
(x) gives the impression of emanating from or being endorsed by NEURA KING or any other person or entity, if this is not the case.

– Transmit or cause to be sent any advertising or promotional material, including any “junk mail”, “chain letter”, “spam” or any other similar solicitation.
– Collect email addresses or other contact information of other users of the Services for the purpose of sending unsolicited emails or other communications.

– Impersonate NEURA KING, a NEURA KING employee, another user, or any other person or entity (including, without limitation, using email addresses or name screens associated with any of the foregoing) or otherwise misrepresent your affiliation with a person or entity.
– Create multiple accounts for the purpose of liking (i.e. giving “like” votes) for or against user projects, artificially inflating or modifying “likes”, comments, etc. or giving or receiving money or other compensation in exchange for “likes”, or participating in any other organized effort that in any way artificially modifies the results of the Services.
– Engage in any other conduct that restricts or inhibits the use or enjoyment of the Services, or which, in our judgment, may harm NEURA KING or users of the Services, or expose them to liability.

Furthermore, you agree not to
– Circumvent any measures we may use to prevent or restrict access to the Services.
– Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site.
– Use any robot, spider or other automatic device, process or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
– Use any manual process to monitor or copy any of the material on the Services, or for any other purpose not expressly permitted in these Terms of Use, without our prior written consent.
– Use any device, software or routine that interferes with the proper working of the Services.
– Introduce viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.
– Obtain or attempt to obtain or otherwise obtain any materials or information through any means not intentionally made available or provided for through the Service.
– Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Services, the server on which the Services are stored, any server, computer or database connected to the Services, or the private accounts of other users.

– Attacking the services through a denial-of-service attack or a distributed denial-of-service attack.
– Attempt to interfere with the proper working of the Services.

NEURA KING has the right to remove any content that violates the Terms of Use or is otherwise objectionable. If you believe that there has been a violation of these Terms of Use (other than for copyright infringement notices, as described below), please contact us.

4. DISPUTES BETWEEN USERS

You agree that you are solely responsible for your interactions with other users of the Service and NEURA KING has no liability in this regard. NEURA KING reserves the right, but has no obligation, to become involved in any way in disputes between you and any other user of the Service.

5. INTELLECTUAL PROPERTY

5.1. INTELLECTUAL PROPERTY RIGHTS OF NEURA KING

The Services and their contents, features and functionality (including, but not limited to, all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) are the property of NEURA KING, its licensors or other providers of such material and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

The NEURA KING name, the NEURA KING logo, and all associated names, logos, product and service names, designs and slogans are trademarks of NEURA KING or its affiliates or licensors. You may not use these trademarks without our prior written permission. All other names, logos, product and service names, designs and slogans on this Service are trademarks of their respective owners. You may not remove or alter any copyright, trademark or other proprietary rights notices contained in any materials on the Site. Any use of the Site not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws.

5.2. USER CONTRIBUTIONS

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information regarding the Service ("Contributions") provided by you to NEURA KING and its affiliates and service providers (and each of their respective licensees, successors and assigns) and other users, visitors and teachers of NEURA KING are non-confidential and such parties shall be entitled to the unlimited and perpetual use and dissemination of such Contributions for any purpose, commercial or otherwise, in any manner, in any media, without acknowledgment or compensation to you.

You represent and warrant that (i) you own or control all right, title and interest in and to the User Contributions and have the right to grant the licenses set forth above; and (ii) all of your User Contributions and User Submissions do and will comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions that you submit, and that you, not NEURA KING, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. NEURA KING is not responsible or liable for the content or accuracy of any User Contributions or Submissions posted by you or any other user of the Services (including, but not limited to, any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content).

You acknowledge that NEURA KING does not pre-screen Content and that NEURA KING and its designees shall have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Services. Without limiting the foregoing, NEURA KING and its designees shall have the right to remove any Content that violates these Terms of Use or is deemed by NEURA KING, in its sole discretion, to be objectionable.

We have no obligation to retain your Contributions for longer than required by law. You understand and acknowledge that your User Contributions posted on the Services may be illegally copied by third parties without your or our consent, despite NEURA KING's reasonable efforts to prevent such illegal activity.

You agree and understand that NEURA KING cannot be held responsible for the illegal copying of your contributions.

5.3. COPYRIGHT COMPLAINTS AND COUNTER-NOTICES

NEURA KING respects the intellectual property of others and we ask our users to do the same.

We have adopted the following policy regarding copyright infringement in connection with the Services, in accordance with the Digital Millennium Copyright Act ("DMCA"). If you believe in good faith that the Site hosts content that infringes your copyright, please notify us by sending a notice to our Copyright Agent by email at contact@neuraking.com). Your notice must contain ALL of the following elements:

1. Identification of the copyrighted work(s) claimed to have been infringed.
2. Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material (i.e., URL).
3. Contact details (address, telephone number and email address).
4. A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
5. A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

6. CONTROL AND ENFORCEMENT; TERMINATION

NEURA KING has the right to:

• Remove any User Contribution for any reason or no reason, in our sole discretion.
• Take any action we deem necessary or appropriate, including if we believe that a User Contribution violates the Terms of Use, infringes the intellectual property rights or other rights of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for NEURA KING.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including but not limited to involving law enforcement, for any illegal or unauthorized use of the Services.
• Terminate or suspend your access to all or part of the Services for any reason, including, without limitation, (i) if you violate these Terms of Use, (ii) if you fail to pay any fees owed by you, (iii) if you file or submit fraudulent chargeback requests, (iv) if we suspect that you are engaging in fraudulent or illegal activity, or (v) for any other reason, in our sole and reasonable discretion.

You agree that any termination of your access to the Service under any provision of these Terms of Use may be effected without prior notice, and acknowledge and agree that NEURA KING may immediately deactivate or delete your account and all related account information and files and/or bar any further access to such files or the Service. Further, you agree that NEURA KING shall not be liable to you or any third party for any termination of your access to the Service.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Service. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTION TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTY OR BY LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review material before it is posted on the Service and cannot ensure prompt removal of objectionable material once it has been posted. Accordingly, we assume no liability or responsibility for any action or inaction regarding transmissions, communications or content provided by any user or third party.

We have no liability to anyone for performance or non-performance of the activities described in this Section.

Consequently, NEURA KING shall not be liable for any damages or losses that may result from the use of these Social Media Services. The inclusion of these features is for convenience only, and their inclusion does not constitute an endorsement or recommendation by us. You agree to immediately cooperate with us in stopping any unauthorized framing or linking.

We reserve the right to withdraw linking permission without notice. We may disable any or all social media features and links at any time, without notice, in our sole discretion.

Geographic restrictions

For uses involving U.S. API providers, you warrant that you (whether as an individual or as a representative of an entity on whose behalf you are using the Services) are not located in a country that is subject to U.S. trade sanctions or embargoes (such as Cuba, Iran, North Korea, Sudan, Syria, or the Crimean region of Ukraine). You also confirm that you are not a person or entity on any U.S. government national or denied party list.

If you are affected by such a restriction, you must notify us within 24 hours. We then reserve the right to terminate any obligation to you, with immediate effect and without any liability to you.

Refund

Please note that our refund policy varies depending on the nature of the payment, whether it is a one-off payment for a course or a subscription.

However, the following guidelines apply in both cases: (i) Refunds will not be granted for accounts that violate these Terms of Use or are otherwise deemed objectionable by NEURA KING in its sole discretion;

(ii) If NEURA KING finds that you are abusing our refund policy, we reserve the right to suspend or terminate your account and refuse or restrict any and all current or future use of the Service without providing a refund.

(iii) To request a refund, we invite you to contact us.

Terms of Access

Access to AI services is conditional upon acceptance of these general terms of use. The user agrees to comply with all of the provisions stipulated below.

1. Infomanagement Formulas
   Access to the information management services is subject to the conclusion of a specific contract established on estimate. The services provided are based on the tools and technologies developed by the company.
2. Service Access Pass
   To access the services, the user must acquire a pass, the terms of which are defined as follows:
   • PERSONAL PASS
     This pass allows the user to access the services and all associated functionalities, subject to compliance with the established validity conditions.
   • PROJECT PASS
     This pass also grants the user full access to associated services and features, in accordance with the specified validity conditions.
3. Prompt-Engineer Capacity
   The Prompt-Engineer ability allows you to activate interfaces specifically dedicated to the needs of engineers and to enable the deployment of Neura King technologies. This ability functions as a pass and offers the following benefits:
   • Increased content and disk space limits.
   • Increase in the number of users per project.
   • Increased the number of projects the user can create.
4. Credits Tokens
   Token Credits are required for the continued use of AI Services. In the event that Token Credits are exhausted, the User will have to repurchase them to maintain access to the Services.
   • Token Categories
     Credit Tokens are classified into several categories, allowing flexibility in the use of services according to the user's needs.
5. Terms of Use
   The services offered are not subject to a subscription, but operate on a prepaid model, without long-term commitment. The acquisition of passes allows the use of the services and all associated features. However, this use is limited by the amount of tokens consumed. The exhaustion of token credits does not prevent access to other services, except for AI requests. On the other hand, the expiration of passes results in the suspension of the possibility of creating or producing new content, while pre-existing content remains accessible.

Limitation of liability

To the maximum extent permitted by law, in no event shall NEURA KING, its affiliates, licensors, service providers, employees, agents, officers or directors be liable for any damages of any kind, regardless of legal theory, arising out of the use of or inability to use the Site or any websites linked to it, any content on the Site or such other sites, or any services or materials obtained through the Site or such other sites, including, without limitation, direct, indirect, special, incidental, consequential or punitive damages. This also includes personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill and loss of data.

These damages may arise from tort (including negligence), breach of contract or other causes, even if foreseeable. In no event will NEURA KING's total liability to you for all damages, losses or causes of action exceed the amount you have paid to NEURA KING in the preceding six (6) months, or, if greater, one hundred dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. If you are dissatisfied with any part of the Service or with these Terms of Use, your sole remedy is to discontinue using the Service.

Applicable law and jurisdiction

These general conditions of use are governed by the law in force in Madagascar. Any dispute relating to the interpretation or execution of these conditions will be submitted to the competent courts of Madagascar.

In the event of a dispute, the user agrees to contact NEURA KING as a first step in order to attempt to resolve the dispute amicably. If no amicable solution is found, the parties reserve the right to bring the dispute before the competent courts.

Absence of third-party beneficiaries and assignment

These Terms of Use do not confer any rights on third parties. The User may not assign its rights or obligations arising from these Terms without the prior written consent of NEURA KING, GPT KING Limited or Brainstorm World Group.

Complete agreement

These Terms of Use constitute the entire agreement between the User and NEURA KING regarding access to and use of the AI ​​Services. Any modification or waiver of any of the provisions hereof must be made in writing and signed by both parties. The obligations of GPT KING Limited, as owner of the trademark and elements of the Site, as well as those of Brainstorm World Group, as payment manager, remain applicable within the framework of the relevant clauses of these Terms.

Languages

Any version of these Terms in a language other than French is provided for your convenience and you understand and agree that the French language shall prevail in the event of a conflict.
