NEURA KING (“NEURA KING”, “Company”, “we” or “us”) provides its services (as described below) to you through its website located at neuraking.com and through its mobile applications and other interactive properties owned and operated by NEURA KING, subject to the following terms of use.

The NEURA KING site, known as “The Service”, allows users:

• generate content via the OpenAI API system and other third-party providers and partners;
  • via our API which is accessible by purchasing a credit token (CT) and subject to the purchase of a time-limited access pass.
  • via their own API subject to purchase of a time-limited access pass.

ACCEPTANCE OF TERMS OF USE

These Terms of Use are entered into by and between you and NEURA KING.

The following terms and conditions, together with any documents expressly incorporated by reference (collectively “Terms of Use”), govern your access to and use of the Services, whether as a guest or registered user.

User Conduct

Use of the service

The use of NEURA KING services is conditional on the granting of a prepaid PASS or a subscription.

The different passes include Credit Tokens allowing the use of OpenAI services.

Prohibited uses

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms of Use, nor for any purpose not reasonably anticipated by NEURA KING. By way of example, but not limitation, you agree not to use the Services:

– In any manner that violates any applicable local, state, national or international law or regulation.
– To abuse, harm, harass, threaten, impersonate or intimidate any person.
– To send, knowingly receive, upload, post, use or re-use any material or content that:
(i) contains any material that is unlawful, defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable;
(ii) promotes sexually explicit or pornographic material, violence or discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
(iii) violates the intellectual property rights or other rights of any person or entity;
(iv) violates the legal rights of others or contains any material that could give rise to any civil or criminal liability under applicable laws or regulations or that may be in conflict with these Terms of Use;
(v) is likely to deceive any person;
(vi) promotes any illegal activity, or advocates, promotes or assists in any illegal act;
(vii) causes annoyance, inconvenience or needless anxiety, or is likely to upset, embarrass, alarm or annoy any other person;
(viii) impersonates any person or misrepresents your identity or affiliation with a person or organization;
(ix) involves commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter or advertising;
(x) gives the impression that it emanates from or is endorsed by NEURA KING or any other person or entity, if this is not the case.

– To transmit or procure the sending of any advertising or promotional material, including any “junk mail”, “chain letter”, “spam” or any other similar solicitation.
– To collect email addresses or other contact information of other users of the Services for the purpose of sending unsolicited emails or other communications.

– To impersonate NEURA KING, a NEURA KING employee, another user or any other person or entity (including, without limitation, by using email addresses or names screen displays associated with any of the above) or otherwise misrepresent your affiliation with a person or entity.
– Create multiple accounts for the purpose of liking (i.e. giving “like” votes) for or against user projects, artificially inflating or modifying “likes”, comments, etc. or to give or receive money or other compensation in exchange for likes, or to participate in any other organized effort that in any way artificially alters the results of the Services.
– Engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, in our determination, may harm NEURA KING or users of the Services, or expose them to liability.

Additionally, you agree not to:
– Circumvent any measures we may use to prevent or restrict access to the Services.
– Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party’s use of the Site, including their ability to engage in real-time activities through the Site.
– Use any robot, spider or other automatic device, process or means to access the Services for any purpose, including monitoring or copying any material from the Services.
– Use any manual process to monitor or copy any material on the Services, or for any other purpose not expressly permitted in these Terms of Use, without our prior written consent.
– Use any device, software or routine that interferes with the proper working of the Services.

4. DISPUTES BETWEEN USERS

You agree that you are solely responsible for your interactions with any other user in connection with the Service and NEURA KING will have no liability in this regard. NEURA KING reserves the right, but has no obligation, to be involved in any way in disputes between you and any other user of the Service.

5. INTELLECTUAL PROPERTY

5.1. NEURA KING INTELLECTUAL PROPERTY RIGHTS

The Services and related content, features and functionality (including, but not limited to, all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) , are the property of NEURA KING, its licensors or other suppliers of this material and are protected by international copyright, trademark, patent, trade secret and other laws intellectual property or proprietary rights.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information relevant to the Service (“Submissions”), provided by you to NEURA KING and its affiliates and service providers (and each of their licensees , respective successors and assigns) and other users, visitors and teachers of NEURA KING are not confidential and said parties will be entitled to the unlimited and perpetual use and dissemination of these submissions for any purpose, commercial or otherwise, in any manner, in any media, without acknowledgment or compensation to you. You represent and warrant that: (i) you own or control all right, title and interest in and to the User Contributions and have the right to grant the licenses granted above; and (ii) all of your Contributions and User Submissions do and will comply with these Terms of Use. You understand and acknowledge that you are responsible for all User Contributions and Submissions that you submit or contribute, and that you, and not NEURA KING, have full responsibility for such content, including its legality, reliability, accuracy and appropriateness. NEURA KING is not responsible or liable to any third party for the content or accuracy of any Contributions or User Submissions posted by you or any other user of the Services (including, but not limited to, any error or omission in any content, or for any loss or damage of any kind incurred as a result of the use of such content). You acknowledge that NEURA KING does not pre-screen content and that NEURA KING and its designees will have the right (but not the obligation) in their sole discretion to refuse or remove any content available via the Services. Without limiting the foregoing, NEURA KING and its designees shall have the right to remove any content that violates these Terms of Use or that is considered by NEURA KING, in its sole discretion, to be otherwise objectionable. We have no obligation to retain any of your User Contributions for any period beyond what may be required by applicable law. You also understand and acknowledge that your User Contributions posted on the Services may be illegally copied by third parties without your or our consent, despite reasonable efforts on our part to prevent such illegal activity. You agree and understand that NEURA KING shall not be liable to you for any unlawful copying of your User Contributions.

NEURA KING respects the intellectual property of others and we ask our users to do the same. We have adopted the following policy regarding copyright infringement in connection with the Services, pursuant to the Digital Millennium Copyright Act (“DMCA”). If you believe in good faith that the Site hosts content that infringes your copyright, please notify us by sending a notice to our Copyright Agent via email at contact@neuraking.com). Your review must contain ALL of the following:

• Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, infringes any intellectual property right or other right of any person or entity threatens the personal safety of users of the Services or the public or could create any liability for NEURA KING.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
• Terminate or suspend your access to all or part of the Services for any reason, including, without limitation, (i) any violation of these Terms of Use, (ii) if you fail to pay any fees you owe, (iii) if you file or submit fraudulent chargeback requests, (iv) if we suspect that you are engaging in fraudulent or illegal activities, or (v) for any other reason in our sole reasonable discretion.

You agree that any termination of your access to the Service under any provision of these Terms of Service may be effected without notice, and acknowledge and agree that NEURA KING may immediately deactivate or delete your account and all related information and files in your account and/or prohibit any further access to these files or the Service. Furthermore, you agree that NEURA KING will not be liable to you or any third party for any termination of your access to the Service. Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting material on or through the Services. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY ANY SUCH PARTY OR LAW ENFORCEMENT AUTHORITIES. However, we do not undertake to review material before it is posted on the Service and cannot guarantee prompt removal of objectionable material after it is posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party. We have no liability to anyone for performance or non-performance of the activities described in this section.

11. FEES

ACCESS CONDITIONS

This section covers additional terms that apply to your use of any subscription plan that NEURA KING may offer with respect to our Services (including NEURA KING PLUS). By using a Subscription Plan, you agree to the additional terms in this section.

Subscription plan:

When you sign up for a subscription plan, you obtain from us a limited, non-exclusive, non-transferable license to access the services included in that subscription plan through the Services. The subscription you purchase or renew determines the scope, features, duration and price of your access to that subscription plan. You may not transfer, assign or share your subscription with anyone else. Your subscription plan will be valid for the agreed term and then will automatically renew based on your subscription settings (e.g. monthly or yearly), unless you cancel your subscription with notice before the end of your plan term subscription.

 

Fees and Payments:

Subscription fees will be indicated at the time of your purchase. You will pay the Fees using the payment methods offered by NEURA KING for any Subscription Plan. If you select Services with an auto-renewal feature, you authorize NEURA KING to retain your account information and bill that account automatically upon renewal of the Services you choose without any further action on your part. In the event that NEURA KING is unable to charge your account as authorized by you when registering for services with an auto-renewal feature, NEURA KING will suspend your access to such services until payment is made. received. For services with an automatic renewal feature, NEURA KING may also change the price of such services and will communicate any price changes to you in writing. Price changes will take effect at the start of the next subscription period following the price change date. As permitted by local law, you accept the new price by continuing to use the Services after the price change takes effect. If you do not agree to the price changes, you have the right to refuse the change by canceling your subscription before the price change takes effect. Therefore, be sure to read any notice of price changes carefully.

Refunds and Cancellations: If within 14 days of purchasing your digital product you are not satisfied, NEURA KING will refund the full amount of your digital product and then terminate your digital product or plan. subscription and will further remove access to any courses and benefits you may have had access to as part of the purchase. Refunds will not be available upon request after this 14-day period, although you can cancel your subscription at any time. If you cancel your Subscription Plan, you will continue to have access to the Subscription Services until the end of your current Subscription Term. Even if your subscription will not be renewed, we will not refund any subscription fees previously paid to us.

To the fullest extent permitted by law, in no event will GPT King, its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for any damages of any nature whatsoever, under any legal theory, arising out of or in connection with your use of, or inability to use, the Site, any website linked to it, any content on the Site or such other websites or any services or materials obtained through the Site or such other websites, including any direct, indirect, special, incidental, consequential or punitive damages, including, but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data,

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE.

 

APPLICABLE LAW AND JURISDICTION

All matters relating to the Services and these Terms of Service and any dispute or claim arising therefrom or relating thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the United Kingdom without giving effect to any choice or conflict of law provision or rule.

You waive any and all objections to the exercise of jurisdiction over you by and to venue in such courts.

LITIGATION

In the interest of resolving disputes between you and NEURA KING in the most timely and cost-effective manner, you and NEURA KING agree that any dispute arising out of or relating in any way to these Terms of Use, to your use of the Site or Services or purchase, receipt, order or use of any course will be resolved by binding arbitration. Arbitration is less formal than a trial in court. Arbitration uses a neutral arbitrator instead of a judge or jury, and arbitrators can award the same damages and relief that a court can award. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU ARE WAIVING THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

ABSENCE OF THIRD PARTY BENEFICIARIES AND ASSIGNMENT
